3.3 Private consumer-to-consumer trading is not permitted.
3.4 A User represents that FarmTrade is used for professional or business purposes and not as a consumer.
3.5 A Business User must be lawfully established or otherwise able to demonstrate professional business or agricultural activity under the law of its country of establishment. Where a country or legal form does not require registration in a commercial register, FarmTrade may accept other official evidence of professional activity.
3.6 FarmTrade may decide which categories of businesses, products, services and activities are admitted to the Platform, subject to applicable law.
4.1 FarmTrade provides digital facilities through which businesses can publish offers, requests and business information and contact each other directly.
4.2 FarmTrade is not the buyer, seller, owner, supplier, reseller, commercial agent, commission agent, representative or contracting party in relation to goods or services offered by Users.
4.3 Any agreement concerning goods or services is concluded directly between the relevant Users.
4.4 FarmTrade does not determine the final price, payment terms, delivery or other commercial terms agreed between Users.
4.5 Unless FarmTrade expressly provides otherwise for a separate future service, FarmTrade does not receive or hold the purchase price of goods, arrange delivery or transport, take title to the goods or guarantee payment or delivery.
4.6 FarmTrade does not guarantee that a product exists, that the seller has title or authority to sell, that information is complete or accurate, that the goods conform to their description, that a product is suitable, safe or lawful, that a User is creditworthy or reliable, or that a transaction will be completed.
4.7 Users are responsible for carrying out their own checks regarding counterparties, goods, price, title, quality, payment, delivery and applicable laws and regulations.
5.1 An Account is required for certain functions.
5.2 Users must provide complete, accurate, current and truthful information.
5.3 FarmTrade may request, among other things: name, email address, telephone number, role within the business, business name, trade name, business description, registered/business address, postal code, city, country, website, sectors, interests, preferred countries, official registration numbers, VAT/tax identifiers, logo, background image and other information reasonably necessary for the Service.
5.4 The User is responsible for the security of the Account and must not provide login credentials to unauthorised persons.
5.5 The User must notify FarmTrade promptly if unauthorised access is suspected.
5.6 FarmTrade may lawfully use technical and administrative data to link Accounts, devices, businesses and registrations where necessary for security, fraud prevention or enforcement.
6.1 FarmTrade may at any time verify that a User acts on behalf of a genuine professional business or agricultural enterprise.
6.2 FarmTrade may request official evidence appropriate to the country and legal form concerned. Examples include:
6.3 No single identifier listed above is required where it is not legally applicable to the relevant type of business. FarmTrade may accept equivalent official evidence.
6.4 FarmTrade may compare supplied information with official registers, VAT databases and other lawful sources.
6.5 Requested information must be supplied within 8 hours of the request unless FarmTrade expressly specifies another period.
6.6 If verification is not completed in time, FarmTrade may refuse or remove Content and temporarily or permanently restrict the Account.
6.7 Verification does not constitute a warranty, certification or endorsement of the business, its solvency, conduct, goods or services.
7.1 FarmTrade may provide business profiles containing, among other things, business name, logo, background image, description, location, address, website, sectors, contact details, staff members, Trade, FarmToday Content and other business information.
7.2 A business may associate employees or contact persons with its profile.
7.3 The business is responsible for having a lawful basis and, where necessary, authority to provide personal data of employees or other contact persons to FarmTrade.
7.4 Where visibility controls are available, Users may choose which details are shown publicly.
7.5 Disabling public visibility does not necessarily remove the information from FarmTrade's systems where FarmTrade lawfully needs it for account administration, service provision, security or another legitimate purpose.
8.1 FarmTrade has Standard Users and Partners.
8.2 A Partner has a paid Partner package or another commercial agreement with FarmTrade.
8.3 Depending on the agreement, Partners may receive additional profile functions, Partner labels, increased visibility, promotional postings, advertising space, branding, statistics, publication options and other commercial services.
8.4 “Partner” is only a commercial designation. It does not create a partnership, joint venture, agency, representation or authority to bind FarmTrade.
8.5 Partner status is not a guarantee, recommendation or certification by FarmTrade.
8.6 Separate written Partner terms, quotations or agreements may apply. In the event of a conflict on a specific subject, the specific written Partner agreement prevails for that subject.
9.1 FarmTrade distinguishes between Trade and Advertising.
9.2 Trade is a specific business offer or request relating to a product, batch of goods or service.
9.3 Advertising includes Content whose primary or substantial purpose is company or brand awareness, product-range promotion, lead generation, website traffic, structural sales promotion, promotion of services, campaigns, events, sponsorship, vacancies, dealer promotion or supplier promotion.
9.4 FarmTrade determines whether Content is Trade or Advertising based on its content, presentation, purpose, frequency and commercial context.
9.5 FarmTrade may reserve Advertising for Partners, paying advertisers or other specific user groups.
9.6 FarmTrade may reclassify, refuse, restrict or remove Content that is placed in the wrong category.
9.7 The first Trade post of a new User is manually reviewed by FarmTrade to determine whether it constitutes Trade or Advertising.
9.8 This review is only a platform review and does not verify or guarantee the accuracy, lawfulness, ownership, safety or reliability of the goods offered.
10.1 Each User is responsible for Content posted by or on behalf of that User.
10.2 Content must be accurate, sufficiently clear, reasonably current, lawful, not misleading, relevant to FarmTrade and not infringe third-party rights.
10.3 It is prohibited to use FarmTrade for illegal goods or services, stolen goods, deliberate misinformation, impersonation, fraudulent Accounts, phishing, malware, spam, evasion of restrictions, artificial manipulation of views/likes/shares/followers or other statistics, unauthorised systematic scraping or unlawful collection of personal data of other Users.
11.1 FarmTrade may enable Users to contact businesses or staff through telephone, WhatsApp, email, websites, directions or other communication services.
11.2 FarmTrade only facilitates the establishment of contact.
11.3 Where an external service is used, that service's terms and privacy rules may also apply.
11.4 FarmTrade may, where lawful, record that a contact function has been used.
11.5 FarmTrade does not automatically receive the content of conversations that subsequently take place directly by telephone, WhatsApp or an external email service.
12.1 FarmTrade decides how Content is selected, ranked and displayed.
12.2 Relevant factors may include country, region, location, distance, sector, interests, preferred countries, groups, followed businesses, Trade categories, recency, search behaviour, viewed Content, likes, shares, contact interactions, popularity, completeness, Partner status and paid promotion.
12.3 Sections such as “For me”, “Region” and “My groups” may therefore differ between Users.
12.4 Paid visibility or Partner status may influence presentation or ranking.
12.5 Paid or sponsored Content will be identified as such where required by applicable law.
13.1 FarmTrade may automatically translate Content.
13.2 Automatic translations may contain errors.
13.3 If a translation differs from the original Content, the original text prevails.
13.4 Users should verify material commercial information themselves before relying on a translation.
14.1 Users retain intellectual property rights they own in their Content.
14.2 The User warrants that all rights, licences and permissions necessary to publish the Content and grant the licence below have been obtained.
15.1 By uploading, publishing or otherwise making Content available to FarmTrade, the User grants FarmTrade a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence for the operation, development, exploitation, communication and promotion of FarmTrade.
15.2 The licence includes the right to host, store, copy, reproduce, publish, display, communicate to the public, distribute, translate, technically adapt, edit, format, shorten, combine, include in compilations, republish and promote the Content.
15.3 FarmTrade may use Content in the FarmTrade app, on farmtrade.nl and other FarmTrade websites, in FarmToday, newsletters, Instagram, Facebook, LinkedIn, TikTok, YouTube, other social media, online advertising, paid FarmTrade campaigns, brochures, fairs, events, presentations, press and promotional materials.
15.4 For those purposes FarmTrade may also use the related trade name, business name, brand name, business logo, product photographs and business photographs.
15.5 FarmTrade may permit necessary technical, hosting, advertising and distribution providers to process Content to enable the permitted uses.
16.1 FarmTrade may technically, editorially and promotionally modify Content.
16.2 This may include cropping or resizing images, changing resolution or format, compression, shortening video, correcting spelling, shortening text, adapting titles, adding translations, changing categories, adding labels or metadata, adding graphical elements or FarmTrade branding, adding captions, creating collages or compilations and adapting Content for social media or other publication formats.
16.3 FarmTrade may use technical, automated and, where lawful, AI-assisted tools for these purposes.
16.4 FarmTrade will not knowingly alter an essential commercial fact such as price, quantity or product specification in a way that creates a materially different offer.
16.5 The User remains responsible for the original commercial information.
17.1 The licence remains in force while the Content is available through FarmTrade and afterwards to the extent reasonably necessary for backups, evidence, security, fraud investigation, disputes, legal obligations and promotional materials already created or published.
17.2 Deletion of Content or an Account does not require FarmTrade to immediately withdraw lawfully created or distributed promotional materials from all external media, to the extent continued use remains lawful.
17.3 Where Content contains personal data, Part B of this document remains applicable.
18.1 FarmTrade may review Content before or after publication using human and automated systems.
18.2 FarmTrade may refuse, delay, edit, reclassify, restrict visibility of or remove Content, issue warnings, request verification, restrict functions or temporarily or permanently suspend Accounts.
18.3 FarmTrade may take precautionary action without prior warning where there may reasonably be fraud, illegal Content, deception, impersonation, a security risk, a serious breach or a risk to Users or FarmTrade.
18.4 Where applicable law requires it, FarmTrade will provide reasons for a restriction and information about available review or complaint options.
19.1 Any person may electronically notify FarmTrade of suspected illegal Content.
19.2 Reports may be submitted through any available in-app reporting function and/or to [email protected].
19.3 A report should preferably identify the Content, its location or link, why it is considered illegal, relevant evidence and contact details where necessary.
19.4 FarmTrade will handle reports as carefully and promptly as reasonably required and will inform relevant persons of a decision where required by law.
20.1 FarmTrade is commercially operated.
20.2 Revenue may be generated from Partner packages, subscriptions, advertising, sponsored Content, promotional placements, paid visibility, commercial collaborations and other business services.
20.3 FarmTrade may display commercial Content from FarmTrade, Partners and other advertisers within the app and website, including advertisements, sponsored posts, Partner profiles, banners, commercial FarmToday Content, offers and increased visibility in feeds.
20.4 Such commercial exploitation forms part of the Service.
21.1 FarmTrade may send messages necessary or reasonably connected with the Account or Service, including Account confirmations, security notices, verification requests, Trade notifications, Service changes, moderation decisions, material changes to terms, customer support, invoices and necessary Partner communications.
21.2 Separate newsletter consent is not required for such communications where another valid legal basis applies.
22.1 FarmTrade may send commercial email to Users who have given valid consent or where another applicable legal exception permits it.
22.2 FarmTrade newsletters may contain FarmTrade news, market information, updates, events, new functions, commercial offers from FarmTrade, advertisements and offers from Partners and advertising from other advertisers.
22.3 FarmTrade sends these emails itself.
22.4 FarmTrade does not provide the recipient's email address to an advertiser merely because that advertiser's content appears in a FarmTrade newsletter.
22.5 Recipients can unsubscribe easily at any time.
23.1 The price, term and contents of paid Partner services are those communicated at purchase, in a quotation or in a separate agreement.
23.2 FarmTrade may suspend a paid service where an amount due has not been paid on time.
23.3 Expiry or termination of Partner status may result in loss of additional Partner functions and promotional opportunities.
24.1 FarmTrade aims to provide a reliable service but does not guarantee permanent, uninterrupted or error-free availability.
24.2 FarmTrade may perform maintenance, introduce new functions, modify or discontinue existing functions and test features with selected groups of Users.
25.1 Intellectual property rights in FarmTrade-developed software, design, databases, logos, marks, trade names and FarmTrade-created Content belong to FarmTrade or its licensors.
25.2 Without prior permission, Users may not systematically copy, reproduce, scrape or commercially reuse substantial parts of FarmTrade.
26.1 FarmTrade is not liable for the performance or non-performance of agreements between Users.
26.2 To the extent permitted by law, FarmTrade is not liable for damage arising from non-payment, non-delivery, defective goods, incorrect information supplied by Users, fraud by other Users, external communication services, outages beyond FarmTrade's reasonable control or commercial decisions independently made by a User.
26.3 To the extent permitted by law, liability for indirect damage, consequential loss, loss of profit, loss of turnover, lost savings, business interruption, loss of data and reputational damage is excluded.
26.4 If FarmTrade is insured for the relevant loss, liability is initially limited to the amount actually paid by the insurer for that event plus the applicable deductible.
26.5 If no insurance payment is made, total liability towards a paying Business User is limited, to the extent permitted by law, to the amount actually paid by that Business User to FarmTrade during the preceding twelve months, with a maximum of EUR 2,500.
26.6 Towards a Standard User who paid nothing during that period, liability is limited, to the extent permitted by law, to EUR 250.
26.7 Nothing excludes liability where exclusion or limitation is prohibited by mandatory law.
27.1 To the extent permitted by law, the Business User indemnifies FarmTrade against third-party claims arising from that User's Content, goods or services, infringement of third-party rights, unlawful or misleading trade, inaccurate business information, breach of law or breach of these Terms.
27.2 The indemnity includes reasonable external costs incurred by FarmTrade in investigating or defending such claims, to the extent permitted by law.
28.1 In the event of a serious or intentional breach of these Terms, FarmTrade may impose a contractual penalty of up to EUR 10,000 per breach, to the extent such a penalty is valid and enforceable under applicable law.
28.2 This may include deliberate provision of false or misleading business information, falsified verification documents, impersonation, fraudulent use of FarmTrade, deliberate circumvention of a permanent suspension, repeated misuse of normal Trade for unauthorised Advertising after enforcement action, or another serious intentional breach creating significant risk to FarmTrade or other Users.
28.3 FarmTrade will take account of the nature, seriousness, duration and repetition of the breach when determining the amount.
28.4 FarmTrade will notify the User in writing of the alleged breach and any penalty imposed.
28.5 Any mandatory judicial power to reduce or review a contractual penalty remains unaffected.
29.1 A User may terminate the Account through the available function.
29.2 FarmTrade may temporarily or permanently restrict an Account for breach of these Terms, fraud, deception, security risks, legal obligations or serious/repeated misuse.
29.3 Provisions which by their nature are intended to survive termination remain in force.
FarmTrade is not liable, to the extent permitted by law, for failures reasonably beyond its control, including major internet or cloud outages, cyberattacks, power failures, government measures, war, natural disasters and failures at essential external suppliers.
31.1 FarmTrade may amend these Terms due to changes in law, functions, security, technology, commercial activities or business operations.
31.2 Users will be informed of material changes where required by law or reasonably necessary.
31.3 FarmTrade may retain records of which version of the Terms was accepted by each User.
32.1 FarmTrade may provide these Terms in Dutch, English, German, Polish and other languages.
32.2 The translations are intended to have the same meaning. If there is a material discrepancy between a translation and the Dutch original, the Dutch text prevails to the extent legally permitted.
33.1 The agreement between FarmTrade and a Business User is governed by Dutch law.
33.2 The parties' choice of Dutch law does not exclude EU rules or overriding mandatory provisions that must apply irrespective of the chosen law.
33.3 Disputes will, to the extent validly agreed, be submitted to the competent Dutch court in the district in which FarmTrade is established.

Privacy complaints may be sent to [email protected]. Individuals may also complain to the Dutch Data Protection Authority or, where applicable, another competent EEA supervisory authority.
FarmTrade may amend this Privacy Notice when functionality, processing activities, providers or law change. An amended Privacy Notice does not itself create a new legal basis where a separate basis or consent is required.
